Vertex Terms of Service

By using Vertex or one of its Apps, you agree as a merchant or authorized business representative to these Terms, the Privacy Policy, applicable App schedules, and the terms of the platform you use. The Service is operated by Technominds Establishment, Unified/Commercial Registration No. 7053119298, Kingdom of Saudi Arabia. Do not use the Service if you are not authorized to bind the business or do not agree.

You must keep your account secure and provide accurate information. Vertex binds a user to a store through central identity, provider installation, store binding, and generation. A browser identifier or local state is not independent authority; you may not access another store or bypass provider permissions.

The current registered App portfolio is: Vertex Profit, Vertex Loyalty, Vertex Reviews, Vertex SEO, Vertex Matrix, Vertex Upsell, Vertex Social, Vertex Joho, Vertex Recur, Vertex CRO, Vertex Refer, Vertex Signals, Vertex Digital Downloads, Vertex Store Audit. These Apps share the Vertex framework, while each App page and schedule defines its own capabilities and limits.

Vertex Profit: provides merchant profitability, sales, cost, fee, tax, attribution, and performance analysis where enabled.

Vertex Loyalty: provides points, tiers, rewards, redemption, and loyalty operations.

Vertex Reviews: provides review eligibility, collection, moderation, publishing, media, and storefront review tools.

Vertex SEO: provides catalog SEO review, recommendations, merchant-approved changes, rollback, and evidence.

Vertex Matrix: provides catalog import, export, migration, validation, and merchant-reviewed bulk editing.

Vertex Upsell: provides merchant-configured product offers, recommendations, and storefront upsell or cross-sell experiences.

Vertex Social: provides merchant-controlled customer communications, campaigns, journeys, and delivery operations where enabled.

Vertex Joho: provides merchant customer operations, segmentation, journeys, tasks, insights, and support workflows.

Vertex Recur: provides recurring-product, subscription, renewal, and merchant-controlled lifecycle operations.

Vertex CRO: provides merchant-reviewed conversion analysis, experiments, recommendations, and measurement.

Vertex Refer: provides merchant-configured referral links, attribution, eligibility, rewards, and program operations.

Vertex Signals: provides merchant-controlled event collection, measurement, attribution, and supported advertising-platform integrations.

Vertex Digital Downloads: provides merchant-configured digital-product delivery, access, license, and fulfillment operations.

Vertex Store Audit: provides store-readiness review, evidence-backed findings, opportunities, and merchant-controlled next steps.

Each App's page and schedule define the service it provides. Vertex SEO provides tools to review and improve product metadata, analyze images and links, offer technical and search-appearance guidance, generate AI-assisted recommendations, and support review, apply, rollback, and evidence where available. It does not guarantee ranking, traffic, revenue, indexing, or a search-engine result.

AI recommendations may be inaccurate or unsuitable. You remain responsible for human review, accuracy, compliance, and rights before applying or publishing them. Vertex SEO applies a provider change only through a flow requiring your review and express approval.

The Vertex SEO commercial contract is Pricing & Plan Contract V1: Launch SAR 79/month, Growth SAR 149, Business SAR 299, and Enterprise from SAR 599. Each plan includes a 3-day free trial; there is no permanent free tier. Plans principally differ by catalog scale, active optimizations, processing capacity, monitoring, safe automation, and support, while core SEO capabilities remain available across paid plans.

At trial expiry, non-payment, cancellation, or expiry of the central entitlement, paid access fails closed; that event alone does not delete App data. The marketplace where you purchase handles billing, receipts, payment methods, and refunds unless Vertex expressly presents itself as direct seller with alternative terms. The total price, taxes, renewal, and cancellation terms are those displayed by the platform at purchase.

You are responsible for the accuracy of store content, holding required rights, and complying with law and provider terms. You must not use the Service unlawfully, misleadingly, or in a way that infringes rights, disrupts the Service, bypasses its controls, resells it, or reverse engineers it except where law permits.

You retain rights in your store, catalog, and materials and grant Vertex a limited license only as needed to operate, secure, support, and comply with law for the Service. Vertex processes merchant data under the Privacy Policy and Data Processing Addendum where applicable. Each party will protect the other's confidential information and use it only for this agreement, subject to customary legal exceptions.

Vertex and its licensors own the platform, software, marks, and materials. AI output and recommendations remain subject to review, third-party rights, provider terms, and law; Vertex does not guarantee exclusivity or non-infringement. Vertex may use feedback without attributing your confidential information. These Terms do not create an independent right to use aggregated or de-identified data unless a later Privacy Policy documents it and law permits it.

The Service may depend on Zid, Salla, an identity provider, hosting, database, Vertex's governed AI runtime, or Google when connected. External services are governed by their own terms, and their limits, changes, or unavailability can affect the Service. Google Search Console is not a public App claim until its documented, approved connection is complete.

Vertex uses reasonable measures to operate the Service but does not guarantee continuous, error-free availability or continuing compatibility with every browser, provider, or search engine. Some features may be beta or limited. To the maximum extent permitted by law, the Service is provided as is and as available; nothing excludes a right or protection law does not permit to be excluded or limited.

You agree to indemnify Vertex against third-party claims arising from your data, content, unlawful use, or breach of these Terms, to the extent permitted by law. This section does not exclude a right, protection, or mandatory exception that applicable law does not permit to be excluded.

Uninstall may stop future work, revoke access tokens, and record lifecycle state, but it is not a deletion request. An account or data-deletion request starts a separate verified process; legal, security, and backup exceptions remain governed by the Privacy Policy. We may update these Terms prospectively with appropriate notice where required. These Terms are governed by the laws of the Kingdom of Saudi Arabia, subject to a mandatory process required by law or a marketplace agreement. For legal questions, email legal@tryvertex.io.
